Imperium Software LLC Terms and Conditions

This Terms of Service (“Agreement” or “Terms”) governs your use of all services provided by Imperium Software LLC (“Company,” “we,” “our,” or “us”), including but not limited to web hosting, email hosting, domain registration, SSL certificates, and any related services (collectively, the “Services”).

By creating an account, purchasing, or otherwise using our Services, you agree to be bound by this Agreement. If you do not agree, you must immediately discontinue use of the Services.

1. DEFINITIONS

For clarity, the following terms have specific meanings:

• “Customer,” “You,” “Your” – The individual or entity purchasing or using the Services.
• “Account” – The customer profile and associated services established with us.
• “Content” – Any data, files, code, emails, or materials you upload, store, transmit, or display through the Services.
• “Third-Party Provider” – Any non-affiliated entity whose products or services we integrate or resell (e.g., domain registrars, SSL issuers).
• “Force Majeure Event” – Circumstances beyond our reasonable control (e.g., natural disasters, internet outages, acts of war).

2. ELIGIBILITY & ACCOUNT CREATION

2.1 Eligibility Requirements

• You must be at least 18 years old (or legal age of majority in your jurisdiction).
• By signing up, you affirm that all registration information is accurate, current, and complete.

2.2 Account Security

• You are fully responsible for all activities on your account.
• You must safeguard your passwords and notify us immediately of any unauthorized use.
• We are not liable for any loss or damage resulting from unauthorized account use.

3. SCOPE OF SERVICES

3.1 Hosting Services

• Shared, VPS, email, and other hosting solutions are provided as-is and as-available.
• While we strive for 99.9% uptime, we do not guarantee uninterrupted service.

3.2 Third-Party Integrations

• Some services (e.g., domains, SSL) are fulfilled by third-party vendors.
• Their terms may apply in addition to ours.

3.3 No Custom Development Obligation

• Unless expressly agreed in writing, we are not obligated to modify software, provide custom coding, or offer development services under this Agreement.

4. ACCEPTABLE USE POLICY (AUP)

4.1 Prohibited Activities
You may NOT use the Services for:

• Illegal activities (e.g., distributing malware, hosting pirated content);
• Abuse of network resources (e.g., spamming, denial-of-service attacks);
• Hosting prohibited content, including but not limited to:
  • Child exploitation material
  • Terrorist propaganda
  • Content promoting violence or hate crimes

4.2 Enforcement

• Violations may result in suspension or termination without refund.
• We may cooperate with law enforcement where required.

4.3 Resource Abuse

• Excessive consumption of CPU, RAM, storage, or bandwidth may trigger throttling or account suspension.

5. BILLING, FEES & PAYMENTS

5.1 Fees

• Pricing is listed on our website and subject to change with 30 days’ notice.

5.2 Payment Terms

• Payment is due at the time of order and on each renewal date.
• Services may be suspended for late payments.

5.3 Refunds

• All payments are final unless otherwise required by law.
• Domain registrations, SSL certificates, and one-time setup fees are non-refundable.

5.4 Chargebacks

• If you initiate a chargeback, your account may be terminated immediately.

6. DATA & CONTENT RESPONSIBILITY

6.1 Your Content

• You retain ownership of your content.
• You grant us the necessary rights to store, transmit, and process it for service delivery.

6.2 Backup & Data Loss

• You are responsible for maintaining backups.
• We may offer backup services, but we assume no liability for data loss.

6.3 Compliance

• You are responsible for ensuring that your content complies with all applicable laws and copyright regulations.

7. DOMAIN NAMES & EMAIL SERVICES

7.1 Domain Registration

• All domains are subject to ICANN rules and the registrar’s policies.

7.2 Email Use Restrictions

• You may NOT use email accounts for:
  • Sending unsolicited spam;
  • Phishing or fraud schemes;
  • Violating anti-spam regulations (CAN-SPAM, GDPR).

8. SERVICE AVAILABILITY & MAINTENANCE

8.1 No Uptime Guarantee

• While we target 99.9% uptime, outages may occur.

8.2 Scheduled Maintenance

• We may perform maintenance with or without notice, which may cause temporary downtime.

8.3 Emergency Actions

• We reserve the right to take servers offline immediately in the event of security threats, abuse, or required repairs.

9. TERMINATION & SUSPENSION

9.1 Termination by Customer

• You may cancel your account at any time via written notice.

9.2 Termination by Company

• We may suspend or terminate services for:
  • Nonpayment
  • Breach of these Terms
  • Threats to infrastructure or security

9.3 Post-Termination

• Upon termination, all data may be permanently deleted.

10. DISCLAIMER OF WARRANTIES

ALL SERVICES ARE PROVIDED “AS-IS” AND “AS-AVAILABLE.”
We disclaim all warranties, express or implied, including but not limited to:

• Merchantability
• Fitness for a particular purpose
• Non-infringement

We do not guarantee:

• Services will meet your requirements;
• Services will be error-free, uninterrupted, or secure;
• Data will remain safe or recoverable.

11. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

• Our total liability for any claim is limited to the amount you paid in the last 12 months.
• We are not liable for indirect, incidental, special, or consequential damages, including lost profits, lost data, or business interruption.

12. INDEMNIFICATION

You agree to defend, indemnify, and hold harmless Imperium Software LLC, its owners, employees, and contractors from any claims, damages, or expenses arising from:

• Your use of Services;
• Your violation of these Terms;
• Your infringement of third-party rights.

13. FORCE MAJEURE

We are not liable for delays or failures caused by events beyond our control, including but not limited to:

• Natural disasters
• Internet outages
• Government actions
• Acts of war or terrorism

14. CHANGES TO SERVICES OR TERMS

We may update or discontinue Services at any time.
We may revise these Terms with notice, and continued use constitutes acceptance.

15. GOVERNING LAW & JURISDICTION

• This Agreement is governed by the laws of Idaho, USA.
• Any disputes must be filed exclusively in state or federal courts located in Idaho.

16. MISCELLANEOUS

• Entire Agreement – These Terms constitute the entire agreement.
• Severability – If any provision is deemed invalid, the rest remains enforceable.
• Waiver – Failure to enforce a right does not waive that right.
